By accessing or using the Split-Share website (www.split-share.com), mobile applications, or related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Services.

1. Acceptance of Terms

By accessing or using the Services, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms. Split-Share reserves the right to modify these Terms at any time. Updated Terms will be posted on the website, and continued use of the Services constitutes acceptance of the modified Terms.

2. Description of Services

Split-Share provides a platform for users to:
  • Create and manage inventories of personal property using AI-powered tools and photo uploads.
  • Facilitate fair division of assets among beneficiaries through patented algorithms and division rounds.
  • Export reports for insurance, legal, or personal use.
  • Access additional services, such as third-party administration or professional valuation, for applicable fees.
The Services are intended to assist with estate planning, downsizing, divorce settlements, insurance inventories, and similar use cases. Split-Share is not a legal service provider, and its outputs are not inherently legally binding unless incorporated into a legal process with professional assistance.

3. User Accounts and Responsibilities

3.1 Account Creation
To use certain features of the Services, you must create an account by providing accurate and complete information, including a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 User Conduct
You agree to:
  • Use the Services in compliance with applicable laws and these Terms.
  • Provide accurate and truthful information when creating inventories or participating in divisions.
  • Respect the privacy and rights of other users, including invited participants in division processes.
  • Refrain from using the Services for any unlawful, fraudulent, or harmful purpose, including uploading malicious content or engaging in abusive behavior.
3.3 Invited Participants
You may invite others (e.g., family members or beneficiaries) to participate in inventory or division processes. You are responsible for ensuring that invited participants comply with these Terms.

4. Intellectual Property

4.1 Ownership
All content, software, algorithms, and materials provided through the Services, including but not limited to text, graphics, logos, and AI-generated outputs, are the property of Split-Share or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 License to Use
Split-Share grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal or professional purposes, subject to these Terms. You may not copy, modify, distribute, or reverse-engineer any part of the Services without prior written consent from Split-Share.

4.3 User Content
You retain ownership of any content you upload to the Services, such as photos, descriptions, or inventory data ("User Content"). By uploading User Content, you grant Split-Share a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely for the purpose of providing the Services.

5. Privacy and Data Security

Split-Share is committed to protecting your privacy. Our Privacy Policy, available on the website, explains how we collect, use, and safeguard your personal information and User Content. Key points include:
  • Access to your inventory and division data is restricted to you and invited participants.
  • Split-Share uses industry-standard security measures to protect your data.
  • Data is stored securely for several years at no charge and is deleted upon account termination, per the Privacy Policy.

6. Fees and Payment

6.1 Free Services
Creating and managing an inventory is free. Additional features, such as division processes, third-party administration, or professional valuation services, may incur fees, which will be disclosed prior to purchase.

6.2 Payment Terms
All payments for paid services must be made through the payment methods provided on the platform. Fees are non-refundable except as provided in Section 6.3.

6.3 Satisfaction Guarantee
Split-Share offers a 100% satisfaction guarantee. If you are not satisfied with the Services within 30 days of purchase, you may request a full refund by contacting customer support.

7. Third-Party Services

Split-Share may partner with third-party professionals (e.g., valuation experts, move managers, or attorneys) to provide additional services. Split-Share is not responsible for the actions, services, or performance of third-party providers. Any agreements with third parties are separate from these Terms, and you expressly release Split-Share from any liability arising from such third-party services.

8. Limitation of Liability and Release

To the fullest extent permitted by applicable law, you agree to release Split-Share, its affiliates, officers, directors, employees, and agents (collectively, the "Released Parties") from any and all liability, claims, or damages arising out of or related to your use of the Services. This includes, but is not limited to:
  • Any inaccuracies, errors, or omissions in User Content, AI-generated outputs, or inventory valuations.
  • Disputes among users, including beneficiaries or invited participants, regarding the division of assets.
  • Any loss, damage, or injury resulting from reliance on the Services or their outputs, including reports or division results.
  • Any interruptions, delays, or failures in the availability or performance of the Services.
  • Any actions, omissions, or services provided by third-party professionals engaged through or in connection with Split-Share.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of accuracy, reliability, merchantability, or fitness for a particular purpose. Split-Share does not guarantee the accuracy of AI-generated asset descriptions, valuations, or division outcomes. In no event shall the Released Parties be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, profits, or emotional distress, even if advised of the possibility of such damages. Split-Share's total liability for any claim arising from the Services shall not exceed the amount paid by you for the Services in the preceding 12 months.

9. Indemnification

You agree to indemnify and hold the Released Parties harmless from any claims, losses, or damages, including reasonable legal fees, arising from your use of the Services, violation of these Terms, or infringement of any third-party rights, including disputes arising from User Content or interactions with invited participants.

10. Termination

10.1 By User
You may terminate your account at any time by following the instructions on the website. Upon termination, all User Content will be deleted in accordance with the Privacy Policy.

10.2 By Split-Share
Split-Share may suspend or terminate your access to the Services if you violate these Terms, engage in unlawful activity, or for any other reason at Split-Share's discretion. You will be notified of any such action where feasible.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction. Arbitration shall be conducted under the rules of the American Arbitration Association.

12. Miscellaneous

12.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Split-Share regarding the Services.

12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 No Waiver
Split-Share's failure to enforce any provision of these Terms does not constitute a waiver of that provision.

12.4 Assignment
You may not assign your rights or obligations under these Terms without Split-Share's prior written consent. Split-Share may assign these Terms without restriction.
